NO SUCCESSOR LIABILITY; EXCLUDED LIABILITIES

Buyer is purchasing certain specified assets of Seller only, and is not purchasing the Seller entity, its ownership interests, or its business as a going concern.

Except for those liabilities expressly set forth in this Agreement as “Assumed Liabilities” (if any), Buyer does not assume and shall not be deemed to have assumed any debts, obligations, or liabilities of Seller of any kind or nature whatsoever, whether known or unknown, fixed or contingent, liquidated or unliquidated, arising before or after the Closing Date (collectively, the “Excluded Liabilities”).

Excluded Liabilities include, without limitation:

• Any pending or threatened claims, lawsuits, or legal proceedings

• Any warranty obligations or claims related to work performed by Seller

• Any contractual obligations or breaches thereof

• Any complaints, citations, or disciplinary actions with the California Contractors State License Board

• Any debts, taxes, or financial obligations of Seller

• Any liabilities arising from Seller’s prior operations, acts, or omissions

Buyer shall not be deemed a successor to Seller under any theory of law or equity, including, without limitation, successor liability, de facto merger, mere continuation, or continuity of enterprise.

Seller agrees to indemnify, defend, and hold harmless Buyer and its owners, officers, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys’ fees) arising out of or relating to any Excluded Liabilities.

Falcon Ridge Roofing, Inc. is an independent licensed contractor operating under California Contractor License #1154169.

Falcon Ridge Roofing, Inc. is a separate and distinct entity and does not assume, accept, or inherit any liabilities, obligations, warranties, or claims arising from work performed by any other company or prior business entity.

All services, warranties, and obligations apply solely to work contracted directly with Falcon Ridge Roofing, Inc. under its current license.

By engaging our services, the customer acknowledges that Falcon Ridge Roofing, Inc. is not responsible for any work performed by third parties or prior entities, regardless of any similarity in name, branding, or ownership.

All work performed by Falcon Ridge Roofing, Inc. is governed exclusively by its own contracts, warranties, and terms.

Any claims related to work performed by other entities must be directed to those respective entities.

By engaging Falcon Ridge Roofing, you acknowledge and agree to these terms.
